3. Explanation
Please explain in a clear and comprehensive manner why the award of the contract without prior publication in the Official Journal of the European Union is
lawful, by stating the relevant facts and, as appropriate, the conclusions of law in accordance with the directive: (500 words maximum)
The Defence Science and Technology Laboratory (“DSTL”), part of the UK Ministry of Defence (MoD”), intends to award a one-year contract to Thermo Electron Manufacturing Limited for the servicing, maintenance and applications support services of Thermo Fisher Scientific Gas Chromatography systems including Exactive, TSQ Quantum, TSQ Vantage, DSQ, Dionex ICS 5000 and 3000.
It is considered that this contract can be awarded using the Negotiated Procedure Without Prior Publication pursuant to Article 32(2)(b)(ii) of Directive 2014/24/EU (Regulation 32(2)(b)(ii) of the Public Contracts Regulations 2015) as competition is absent for technical reasons.
The company legal entity is Thermo Electron Manufacturing Ltd. Thermo Fisher Scientific and Unity Labs Services are the divisions within the business that hold operational identities and will be carrying out the services , but not do not have a trading identity in their own right.
Thermo Fisher Scientific does not employ any external agents in the UK for the purposes of delivering services and repairs. Due to the Patents and Technology in the laboratory instruments and equipment, Unity Lab Services employees are the only recognized, certified and fully trained service engineers to perform service on the products listed above. As an example, if work were to be performed by any supplier other than Unity Lab Services during the warranty period of an instrument, it would invalidate said equipment’s warranty. Thermo Fisher Scientific does not license any software to any third party individuals. Software updates are only issued to the original instrument owner and not to any third party vendors. Hence, Thermo Fisher Scientific through Unity Lab Services would be the only source of software updates and upgrades for any Thermo Scientific branded instrument, and will be tasked with carrying out the aforementioned services in respect of the equipment referred to in this notice.
